1. Purpose
These Terms govern the rights, obligations, and responsibilities between 어센텀 ("Company") and users in connection with the Archy service.
2. Definitions
"Service" means the lecture recording, transcription, summarization, organization, course management, notification, payment, and related functions provided by the Company through the web, mobile web, or other online environments.
"User" means a person who uses the Service under these Terms and may include both members and non-members.
"Member" means a user who has completed the registration process designated by the Company, created an account, and continues to use the Service.
"Paid Service" means a function or plan that a member uses after paying the applicable fee through the Company or a designated payment provider.
"Content" means audio, transcripts, summaries, course information, notes, formats, images, and other materials that a user uploads, enters, records, or creates through the Service.
3. Posting and amendment of these Terms
The Company makes these Terms available on the service screen or through another method so users can easily review them.
The Company may revise these Terms as required by law, service policy, or operational necessity. When the Terms are revised, the effective date and major changes will be announced before the revision takes effect.
If a user continues to use the Service after revised Terms take effect, the Company may regard that continued use as consent to the revised Terms, except where applicable law requires a separate consent procedure.
4. Formation of the service agreement
The service agreement is formed when a user completes the sign-in or registration flow designated by the Company and agrees to these Terms.
The Company may refuse a registration request or terminate the agreement after the fact if the user provided false information, used another person's information, does not meet the service requirements such as minimum age, seeks to use the Service for unlawful or improper purposes, or if acceptance would otherwise be inappropriate under the Company's reasonable judgment.
5. Changes to member information and account management
Members must keep their account and profile information accurate and update any changes without delay.
Members are responsible for managing their account, authentication methods, and access credentials, and may not transfer, lend, or share them with a third party.
The Company is not responsible for damage caused by a member's failure to manage their account properly unless the Company acted intentionally or with gross negligence.
6. Provision, change, and suspension of the Service
The Company currently provides features including lecture recording, transcription, summaries and formatted notes, course registration and management, reminder settings, saved summary formats, usage tracking, and plan or payment management.
The Company may change or suspend all or part of the Service for reasons such as service improvement, operational necessity, technical changes, third-party policy changes, or compliance with applicable law.
Except where advance notice is difficult because of system maintenance, incident recovery, or urgent operational reasons, the Company will try to give advance notice of service suspensions or material changes.
7. Paid services, payment, and usage limits
The Service may include free plans and paid plans. The features, usage limits, prices, billing cycles, and other conditions of each plan are shown in the service or payment flow.
Payment for paid services may be processed through a third-party payment provider designated by the Company, and members must review the price, billing cycle, and applicable conditions displayed during checkout before payment.
The Company may offer free trials, promotions, usage caps, or feature-based limits, and those conditions will be described inside the Service.
8. Cancellation and refunds
A member may request cancellation or a refund for a paid service to the extent permitted by applicable law.
If a digital service has already started, usage has already occurred, or use of reproducible digital content has begun, cancellation or refunds may be limited under applicable law, including consumer protection laws for electronic commerce.
For recurring payments, a cancellation request made before the next billing date will apply from the following billing cycle. Whether a refund is available for an already billed period will be handled according to applicable law, payment-provider policies, and the Company's separately announced refund standards.
9. Obligations of the Company
The Company will not engage in conduct prohibited by law, these Terms, or public order and morality, and will strive to provide a stable and continuous service.
The Company will take reasonable measures necessary to protect personal information and maintain security so users can use the Service safely.
10. Obligations of users
Users must comply with applicable law, these Terms, service instructions, notices, and the Company's operating policies.
Users must have the legal rights needed for the content they upload or record, and must not infringe another person's copyright, portrait rights, personal information, or other rights.
Users must not interfere with service operations through abnormal automated access, excessive requests, reverse engineering, fraudulent payments, false reports, use of another person's account, uploading malicious code, or similar conduct.
11. Content and rights
Rights and responsibility for content entered, uploaded, recorded, or created by a user belong to that user.
To provide the Service, the Company may store, display, transcribe, summarize, organize, translate, analyze, back up, and restore user content within the scope necessary for service operation.
Rights in software, design, trademarks, operating logic, and other works created or provided by the Company for the Service belong to the Company or the rightful owner.
12. Restrictions on use and termination
If a user violates these Terms or applicable law, or materially interferes with normal service operation, the Company may issue warnings or impose feature restrictions, suspensions, paid-service restrictions, or account termination.
A user may request account withdrawal at any time through the process provided by the Service. However, information that must be retained by law or is required for dispute response may be stored separately for the applicable retention period.
13. Disclaimer
The Company is not liable for damage caused by events outside its reasonable control, including natural disasters, war, riots, hacking, telecommunications or cloud-provider failures, or the user's own device or network problems.
The Company does not guarantee the accuracy, completeness, or fitness for a particular purpose of AI transcription, summary, or organization results, and users must review important outputs before relying on them.
The Company is not liable for disputes between users or between a user and a third party unless the Company acted intentionally or with gross negligence.
14. Governing law and jurisdiction
These Terms and disputes between the Company and users are governed by the laws of the Republic of Korea.
Any lawsuit relating to disputes between the Company and users shall be brought in the court with jurisdiction under applicable law, including the Civil Procedure Act.
